Use of the Service
The Service includes both content owned or controlled by interTouch as well as content owned or controlled by third parties and licensed to interTouch (collectively, the "Content").
interTouch authorizes you to view and download a single copy of the Content solely for your personal, non-commercial use. You may not sell or modify the Content or reproduce, display, publicly perform, distribute, create derivative works, or otherwise use the Content in any way for any public or commercial purpose without the written permission of interTouch.
Content
You acknowledge that interTouch does not pre-screen, control, edit or endorse Content made available through the Service and has no obligation to monitor the Content. Under no circumstances will interTouch be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use or display of any Content, whether foreseeable or otherwise. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content.
Proprietary Rights
interTouch and its licensors own and retain all rights in the Service and Content, which contains proprietary and confidential information that is protected by copyrights, trademarks, service marks, patents or other intellectual property rights and other laws. Except as expressly authorized by interTouch, you may not copy, modify, publish, transmit, distribute, perform, display, sell or create derivative works based on any of interTouch's proprietary information, whether in whole or in part. "interTouch" and the "interTouch" logo are registered trademarks used by the interTouch Group of Companies.
Privacy Policy & Consent to Transfer of Data
In order to provide you with the Service, interTouch may need to collect information that is capable of identifying you (“Personal Information”). This Personal Information is collected for (a) system performance and security purposes; (b) editorial and feedback purposes and for other marketing and promotional purposes; (c) to analyse the behaviour of users when they use the Service; (d) for product development and content improvement; (e) to customise content and the layout of our portal and Service; and/or (f) as required under applicable laws and regulations. In addition, interTouch may also collect Personal Information that you volunteer as part of our voluntary registration system.
You specifically acknowledge and agree that interTouch may disclose Personal Information to third party contractors to whom interTouch contract out limited and specialised functions. However, if interTouch does so, interTouch only discloses Personal Information that the relevant contractor needs to provide the service to interTouch. Also, interTouch takes reasonable steps to ensure that our contractors handle Personal Information in accordance with this Privacy Policy, and do not use or disclose Personal Information for any purpose other than the provision of services to interTouch.
You specifically acknowledge and agree that interTouch may partner from time to time with other parties to provide specific services. When a user requests to receive these third party services, we will share all contact information necessary for these third parties to provide these services to the relevant user. interTouch will disclose only information knowingly and voluntarily disclosed by users. These third parties are not allowed to use Personal Information except for the purpose of providing these services. Sometimes, interTouch may also share aggregated demographic information, but such information will not identify any individual.
For the aforesaid reasons, interTouch needs you to consent to the transfer of Personal Information about you from the country in which you are provided with the Service. Particularly, please note that Personal Information may in some cases be transmitted to other countries. Your consent is a requirement in order for interTouch to provide you with the Service. If you do not consent to the transfer of Personal Information, please do not use the Service.
Without limiting the generality of the foregoing, you acknowledge, consent and agree that interTouch may disclose any information collected from you, if required to do so by law or in a good faith belief that such access, preservation or disclosure is reasonably necessary to: (a) comply with legal process or regulations; (b) enforce the Terms of Use; (c) protect and defend the rights or property of interTouch (including the enforcement of our agreements); (d) respond to your requests for customer service; or (e) protect interTouch’s rights, property or personal safety, as well as those of our users and the public.
Storage of Data and Personal Information
interTouch may store your Personal Information and other data for as long as we deem appropriate, and/or to comply with any applicable laws.
Security
interTouch have taken measures to ensure that the Service is secure, and that Personal Information which interTouch hold is protected from risks such as unauthorised access, modification or disclosure. interTouch use a variety of security technologies and procedures to do this but as the use of any services over the Internet can never be completely secure, you specifically acknowledge and agree that interTouch shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with any unauthorised access, modification or disclosure of your Personal Information.
Special Admonitions for International Use
Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from Singapore and/or the country in which you reside.
Changes in Terms and Conditions
We may modify or terminate our Services from time to time, for any reason, and without notice, including the right to terminate with or without notice, without liability to you, any other user or any third party.
We reserve the right to modify these Terms of Service from time to time without notice. Please review these Terms of Service from time to time so that you will be apprised of any changes.
Disclaimer of Warranties
interTouch and its affiliates, licensors, partners, suppliers, consultants and agents ("interTouch Entities") disclaim any and all responsibility or liability for the accuracy, completeness, legality, reliability, operability or availability of information or Content displayed on the Service. The interTouch Entities disclaim any and all responsibility and liability for your conduct and for the conduct of others using the Service.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
(a) YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE, AND ALL CONTENT, INFORMATION (INCLUDING, WITHOUT LIMITATION, ANY INFORMATION OR CONTENT OBTAINED OR ACCESSED THROUGH THE SERVICE), PRODUCTS AND SERVICES INCLUDED THEREIN ARE PROVIDED ON AN "AS IS" AND “AS AVAILABLE” BASIS WITH NO WARRANTIES WHATSOEVER. THE interTouch ENTITIES EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS
(b) THE INTERTOUCH ENTITIES DISCLAIM ANY WARRANTIES REGARDING THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE SERVICE. PARTICULARLY, THE INTER-TOUCH ENTITIES MAKE NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS; (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; AND (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS
(c) THE INTERTOUCH ENTITIES DISCLAIM, ANY WARRANTIES FOR ANY INFORMATION OR ADVICE OBTAINED THROUGH THE SERVICE;
(d) THE INTERTOUCH ENTITIES DISCLAIM ANY WARRANTIES FOR SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE SERVICE OR RECEIVED THROUGH ANY LINKS PROVIDED BY THE SERVICE, AS WELL AS FOR ANY INFORMATION OR ADVICE RECEIVED THROUGH ANY LINKS PROVIDED IN THE SERVICE;
(e) YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIAL OR DATA THROUGH THE USE OF THE SERVICE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL OR DATA.
Limitation of Liability
UNDER NO CIRCUMSTANCES WILL interTouch AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF THE SERVICE, WHETHER OR NOT INTERTOUCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; (iv) ANY RELIANCE ON THE SERVICE; (v) THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES); OR (vi) ANY OTHER MATTER RELATING TO THE SERVICE.
IN ANY EVENT, UNDER NO CIRCUMSTANCES SHALL INTERTOUCH BE LIABLE TO YOU FOR AN AMOUNT EXCEEDING US$100.00.
Hold Harmless and Indemnity
You agree to hold harmless and indemnify interTouch from and against any third party claim arising from or in any way related to your use of the Service, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature.
Contributions to Us
By submitting ideas, suggestions, documents, and/or proposals ("Contributions") to interTouch through its suggestion or feedback webpages, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) interTouch is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) interTouch shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) interTouch may have something similar to the Contributions already under consideration or in development; (e) your Contributions automatically become the property of interTouch without any obligation of interTouch to you; and (f) you are not entitled to any compensation or reimbursement of any kind from interTouch under any circumstances.
Miscellaneous Provisions
These Terms of Service will be governed by and construed in accordance with the laws of Singapore, without giving effect to its conflict of laws provisions or your actual state or country of residence. The parties agree to submit to the personal and exclusive jurisdiction of the courts located in Singapore. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect. You shall not assign these Terms of Service or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without our prior written consent. Any such purported assignment or delegation will be null and void and of no force or effect.
Without limiting the foregoing, under no circumstances shall interTouch be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.
These Terms of Service constitute the entire agreement between you and interTouch with respect to the subject matter hereof and supersede and replace all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. You also may be subject to additional terms and conditions that may apply when you use certain portions of the Service or any affiliate services or third-party content. Any waiver of any provision of the Terms of Service by a party will be effective only if in writing and signed by a party. The failure of interTouch to exercise or enforce any right or provision of these terms and conditions shall not constitute a waiver of such right or provision.
You agree that, except as otherwise expressly provided in this Terms of Service, there shall be no third-party beneficiaries to this agreement.
You specifically agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.
